            This Deed of Assignment is made and entered into by and between the following:

PEDRO MANANSALA, of legal age, single, and a resident of ______________ City, hereinafter referred to as the ASSIGNEE;

            WHEREAS, the ASSIGNOR is one of the incorporators and a subscriber of ___________ shares of ABC GROUP OF COMPANIES, INC, with Business Permit No. ___________ and Business ID No. ______________, registered with the Local Government of ______________ City, and with business address at ______________ City;

            WHEREAS, the ASSIGNOR desires to transfer unto the ASSIGNEE, his full subscription and business interest upon payment by the ASSIGNEE of FIVE THOUSAND PESOS (Php 5,000.00), Philippine currency, acknowledged by the ASSIGNOR;
           
NOW THEREFORE, for and in consideration of the foregoing, the ASSIGNOR hereby ASSIGNS, TRANSFERS and CONVEYS unto the ASSIGNEES, the aforesaid subscription and business interest fully and without any reservation.
